Sonik Mobility – Terms & Conditions

These Terms and Conditions (the "Agreement") form a binding legal agreement between you (the "Customer", "User", or "you") and Azhar Engineering Pvt. Ltd., owner of the "Sonik Mobility" trademark ("Sonik Mobility", "Sonik", "we", "us", or "our"), with registered office in Noida, Uttar Pradesh, India.

By accessing or using the Sonik Mobility mobile application (the "App"), website (the "Website"), Sonik Mobility EV chargers and charging stations ("Charging Stations"), or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must immediately stop using the Services.

1. Definitions

Unless the context requires otherwise, the following terms have the meanings below:

  • Agreement: These Terms & Conditions governing use of the App, Website, Charging Stations, and Services.
  • App: The Sonik Mobility mobile application.
  • Website: Sonik Mobility's website located at sonikmobility.com (including subdomains).
  • Charging Stations: EV charger units, whether owned by Sonik Mobility or third parties, where you can charge your vehicle.
  • Charging Session: The duration between the start and stop of a charging event at a Charging Station.
  • Device: Any phone, tablet, or other electronic device used to access the App or Services.
  • E-Wallet: Prepaid account within the App to store funds for payments.
  • Charging Fees: Fees charged for each Charging Session or related usage.
  • Payment Facilitator: Third-party payment processor or facilitator (e.g., Razorpay or any other), used to process payments.
  • Promotional Credits: Referral bonuses, cashback, or other credits given by Sonik Mobility from time to time.
  • Services: The charging services and all related products, features, content, and functionalities offered via the App, Website, Charging Stations, or otherwise.
  • Host: Any individual, entity, or facility providing or hosting the physical location and/or electricity for a Charging Station used with Sonik Mobility Services.

2. Eligibility & Account Registration

2.1 Eligibility

You must be at least 18 years old and legally competent to enter into binding contracts under Indian law to use the Services. By registering, you represent and warrant that you meet these requirements.

2.2 Account Creation

To use the App, you must create an account by providing:

  • A valid mobile number (verified via OTP); and
  • A valid email address and any other details requested.

Each mobile number corresponds to a single account. You agree to provide true, accurate, current, and complete information, and to keep it updated.

2.3 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials and Device;
  • All activities occurring under your account, whether authorized or unauthorized; and
  • Immediately notifying Sonik of any unauthorized access, suspected compromise, or security breach.

Sonik Mobility is not liable for losses resulting from unauthorized use of your account.

2.4 Account Suspension & Termination

Sonik Mobility may, at its sole discretion and without prior notice, suspend, restrict, or terminate your account and/or access to Services if:

  • You violate this Agreement or any applicable policy;
  • You engage in misuse, abuse, or fraudulent activity;
  • You repeatedly violate usage rules (including unplugging other users' chargers); or
  • Required by law, regulation, court order, or government authority.

Suspension or termination does not relieve you of your existing payment obligations.

3. License to Use App & Services

3.1 Limited License

Subject to this Agreement, Sonik Mobility grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

  • Download, install, and use the App on your own Device; and
  • Access and use the Services solely for your personal, lawful use.

3.2 Restrictions

You shall not:

  • Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the App or Services;
  • Circumvent security features or access controls;
  • Use the Services for any unlawful or unauthorized purpose;
  • Sell, lease, license, or otherwise commercialize the App or access to the Services;
  • Access the Services in a manner that could damage, disable, overburden, or impair any Sonik system or network.

Sonik Mobility reserves all rights not expressly granted.

4. Payments, E-Wallet & Refunds

4.1 E-Wallet Top-Up

You may recharge your E-Wallet in advance using credit/debit cards, UPI, net-banking, or other supported payment methods via the Payment Facilitator. Sonik Mobility may bear transaction costs, and you will receive the corresponding amount credited to your E-Wallet, unless otherwise stated.

4.2 Minimum Wallet Balance

A minimum E-Wallet balance of ₹550 is required to initiate any Charging Session. If your balance is below this threshold, you will not be permitted to start a new session.

4.3 Charging Session Initiation & Payment

Charging Sessions may be started/stopped via:

  • The App (where technically supported); or
  • A Charge Card or other mechanism (if supported at the specific station).

By initiating a Charging Session, you authorize Sonik Mobility to deduct applicable Charging Fees and any penalties from your E-Wallet and/or payment method.

4.4 Charging Fees & Tariffs

Charging Fees will be:

  • Displayed in the App and/or at the Charging Station; and
  • Subject to change at Sonik's sole discretion.

By using the Charging Station, you accept the displayed fees and agree to pay all applicable charges, including penalties and taxes.

4.5 Refunds & Processing Time

Refunds (where applicable under Sonik's Cancellation & Refund Policy and Refund & Returns Policy) will:

  • Be subject to Sonik Mobility's approval at its sole discretion; and
  • Be processed within 7–10 business days from the date of approval.

Actual credit to your bank or payment method may depend on your bank/payment provider. Sonik is not responsible for delays caused by banks or Payment Facilitators.

4.6 Payment Facilitator Disclaimer

Payments are processed by independent third-party Payment Facilitators. Sonik Mobility:

  • Does not control their systems, security, or availability; and
  • Is not liable for errors, delays, or failures caused by Payment Facilitators.

Any disputes regarding payment processing may be redirected to the relevant Payment Facilitator.

4.7 Promotional Credits

Promotional Credits:

  • Are not legal tender and may be subject to expiry and specific terms;
  • Are non-transferable and non-encashable; and
  • May be revoked, modified, or cancelled by Sonik at any time.

5. Equipment, Charging Stations & On-Ground Conduct

5.1 Charging Performance

Charging speed and performance depend on multiple factors, including:

  • Vehicle specifications and battery condition;
  • Weather and ambient temperature;
  • Grid conditions and station capacity; and
  • Concurrent usage at the station.

Sonik Mobility does not guarantee any particular charging time, performance, or outcome.

5.2 Station Instructions

Instructions for using Charging Stations are provided:

  • On or near the physical charger; and/or
  • Within the App or Website.

You must read, understand, and follow all instructions before and during charging. Failure to do so is at your own risk.

5.3 Unplugging Other Users – Strict Prohibition

You must not unplug or tamper with another user's charging connector, cable, or Charging Session, except:

  • In emergency situations where safety is at risk; or
  • When expressly authorized by Sonik or the facility management.

If you are reported 3 times for unplugging another user's charger without authorization, Sonik Mobility may suspend or permanently terminate your account, without refund or liability.

5.4 Parking Responsibilities & Penalties

Parking at or near Charging Stations is typically controlled by facility management or property owners, not by Sonik Mobility.

Parking Issues:

Any issues related to parking availability, towing, parking fines, clamping, or access should be addressed with the facility maintenance/management department. Sonik Mobility does not provide support or assume responsibility for parking-related disputes or penalties.

Post-Charge Overstay Penalty:

  • If your vehicle remains parked at a Charging Station for more than 2 hours after it is fully charged, a penalty will apply:
  • ₹550 for 4-wheelers, and
  • ₹150–₹550 for 2-wheelers (as per station-specific rules or App display).

Sonik Mobility is authorized to automatically deduct such penalties from your E-Wallet or linked payment method.

This overstay penalty is in addition to Charging Fees and any parking charges imposed by the facility.

You are solely responsible for tracking your Charging Session and promptly moving your vehicle after charging is complete.

6. Service Availability & Modifications

6.1 Availability

Sonik Mobility intends to offer Services on a 24/7 basis, subject to:

  • Scheduled maintenance and upgrades;
  • Power outages and utility disruptions;
  • Network failures, force majeure events, or actions of hosts/facilities.

6.2 No Guarantee of Uptime

Sonik Mobility does not guarantee that:

  • Any particular station will be available at a given time;
  • Services will be uninterrupted, timely, secure, or error-free.

You cannot claim damages or compensation solely because a station is out of order, inaccessible, occupied, or otherwise unavailable.

6.3 Service Changes, Suspension & Withdrawal

Sonik Mobility may, at its sole discretion and without liability:

  • Modify, update, or remove any feature of the App or Services;
  • Restrict or suspend access to certain Charging Stations;
  • Temporarily or permanently discontinue Services in any area.

7. Data, Usage & Privacy

7.1 Data Collection & Use

Sonik Mobility collects and stores, among other things:

  • Charging history, including usage, duration, energy consumed, and station details;
  • Device and usage information; and
  • Personal information and communications.

Customer data is processed in accordance with:

  • Applicable laws; and
  • The Sonik Mobility Privacy Policy, which forms an integral part of this Agreement.

7.2 Purpose of Data Use

Data may be used for:

  • Service delivery, billing, analytics, and product improvement;
  • Marketing and promotional activities (unless you explicitly opt out of direct marketing);
  • Fraud detection, security, compliance, and legal obligations;
  • Anonymized or aggregated reporting and statistics.

7.3 Data Backup & Loss

You are solely responsible for:

  • Backing up your own data (e.g., invoices, trip records); and
  • Maintaining copies of important information.

Sonik may attempt to restore data from backups but is not obligated to reconstruct or restore lost data and is not liable for any data loss, corruption, or unavailability.

7.4 Data Sharing

Sonik may share your data with:

  • Service providers, hosts, and partners for service delivery;
  • Third parties for analytics and anonymized statistics;
  • Government or regulatory authorities as required by law.

7.5 Post-Deletion Data Retention

After account deletion:

  • Sonik Mobility may retain your name and mobile number for the limited purpose of maintaining records that you were a past customer, for:
  • Fraud prevention,
  • Legal compliance,
  • Dispute resolution, and
  • Internal analytics.

Such retention will be in line with the Privacy Policy and applicable law.

8. Customer Conduct, Indemnity & Prohibited Use

8.1 User Obligations

You agree to:

  • Use Services only for lawful purposes and in compliance with all applicable laws and this Agreement;
  • Operate your vehicle and equipment safely and in accordance with manufacturer and station instructions;
  • Not damage, tamper with, or misuse Charging Stations or related infrastructure;
  • Not harass, threaten, or interfere with other users, facility staff, or Sonik personnel.

8.2 Customer Indemnification

You agree to indemnify, defend, and hold harmless Sonik Mobility, Azhar Engineering Pvt. Ltd., and their officers, directors, employees, and agents from any and all claims, losses, damages, liabilities, penalties, costs, and expenses (including legal fees) arising out of or related to:

  • Your use or misuse of the App, Website, Charging Stations, or Services;
  • Your violation of this Agreement, the Privacy Policy, or any law;
  • Your misuse of data or disclosure of others' personal or vehicle information;
  • Any damage to property or injury to persons caused by your vehicle, actions, or omissions;
  • Unlawful or unauthorized use of your account or Device by you or any third party.

9. Warranty Disclaimer

9.1 "As Is" and "As Available"

The App, Website, Charging Stations, and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Sonik Mobility:

  • Disclaims all warranties, express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy;
  • Does not warrant that Services will meet your expectations or requirements;
  • Does not warrant that Services will be uninterrupted, timely, secure, or error-free.

9.2 Vehicle & Hardware Compatibility

Sonik Mobility is not responsible for:

  • Incompatibility between your vehicle and any Charging Station;
  • Any damage arising from improper or unsafe use of chargers, cables, or adapters;
  • Use of third-party accessories not approved by your vehicle manufacturer.

You must ensure your vehicle and accessories are suitable for the Charging Station and comply with OEM recommendations.

10. Limitation of Liability

10.1 Exclusion of Certain Damages

To the maximum extent permitted by applicable law, Sonik Mobility, Azhar Engineering, and their affiliates, officers, employees, and agents shall not be liable for any:

  • Loss of use, revenue, profits, business, or goodwill;
  • Loss or corruption of data;
  • Indirect, consequential, special, exemplary, or punitive damages;
  • Damages arising from system unavailability, network failures, or station downtime;
  • Personal injury or damage to third-party property arising from your use of Services.

10.2 Cap on Liability

In any event, Sonik Mobility's aggregate liability arising from or related to the Services or this Agreement (whether in contract, tort, or otherwise) shall not exceed the total amount actually received by Sonik Mobility from you for Services in the 15 (fifteen) days immediately preceding the event giving rise to the claim.

This limitation applies even if any remedy fails of its essential purpose.

11. Carbon Credits & Environmental Attributes

11.1 Assignment of Carbon Credit Rights

By using the Services and accepting this Agreement, you irrevocably assign, transfer, and set over exclusively to Sonik Mobility (and its affiliates, successors, and assigns) all rights, title, and interest in and to any and all environmental attributes and carbon benefits arising from or associated with:

  • Your Charging Sessions conducted through Sonik Mobility's App, Website, or Charging Stations;
  • Any greenhouse gas emission reductions, renewable energy attributes, or carbon offsets generated by your use of Sonik's charging network; and
  • All related upstream and downstream environmental attributes, including those involving hosts providing charging locations and/or electricity.

11.2 Scope of Rights

This assignment includes, without limitation:

  • Carbon credits, renewable energy certificates, emission reduction units, or similar instruments recognized now or in the future under any carbon market, regulatory scheme, or voluntary standard;
  • The exclusive right for Sonik Mobility to claim, register, aggregate, verify, monetize, trade, or otherwise dispose of such environmental attributes and credits in any jurisdiction and under any applicable framework;
  • The right to contract with third parties (including hosts, utilities, and aggregators) for management and monetization of such credits.

11.3 No User Claim

You acknowledge and agree that:

  • You have no ownership, claim, or entitlement to any carbon credits, environmental attributes, or related proceeds generated through your use of the Services;
  • You will not assert any claim or make any representation that you, your vehicle, or your organization has rights to such credits; and
  • Any sustainability or emissions-related reporting rights you may have are strictly subject to and subordinate to Sonik Mobility's exclusive rights as stated above.

12. Customer Care & Support Scope

12.1 Technical & Charging Support Only

Sonik Mobility's customer care team provides support only for:

  • Technical issues with the App;
  • Problems initiating or completing Charging Sessions;
  • Errors in billing, transactions, or E-Wallet usage;
  • Station faults directly related to Sonik-managed hardware.

12.2 Parking & Facility Issues Excluded

Customer care does not handle:

  • Parking disputes, fines, towing, or access issues;
  • General facility issues (lighting, security, cleanliness, etc.).

Such matters must be taken up with the facility maintenance/management department or property owner. Sonik Mobility has no obligation or liability in relation to these issues.

13. Governing Law, Disputes & Arbitration

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

Subject to the arbitration clause below, courts in Delhi, India, shall have exclusive jurisdiction over all disputes arising out of or in connection with this Agreement or your use of the Services.

13.3 Amicable Resolution

Parties shall first attempt to resolve any dispute amicably within 30 days of written notice of the dispute.

13.4 Arbitration

If a dispute is not resolved amicably within 30 days, it shall be finally resolved by arbitration in accordance with the Arbitration & Conciliation Act, 1996, as amended:

  • Seat and venue of arbitration: Delhi, India;
  • Language: English;
  • Tribunal: Sole arbitrator appointed in accordance with the Act or mutual agreement;
  • Arbitration award shall be final and binding on the parties.

14. Force Majeure

Sonik Mobility shall not be liable for any failure or delay in performance of its obligations under this Agreement if caused by events beyond its reasonable control, including but not limited to:

  • Pandemic, epidemic, or public health emergency;
  • Natural disasters (flood, earthquake, storm, etc.);
  • War, terrorism, civil unrest, or strikes;
  • Power failures, grid instability, or utility disruptions;
  • Cyber attacks, network failures, or third-party service outages;
  • Governmental actions, regulations, or orders.

During such events, obligations may be suspended for the duration of the force majeure event.

15. Validity, Termination & Amendment

15.1 Term

This Agreement remains valid from the time you accept it (including by using the Services) and continues until terminated in accordance with its terms.

15.2 Termination by Sonik

Sonik Mobility may terminate or suspend your access to the App or Services at any time, with or without notice, including for:

  • Breach of this Agreement or other policies;
  • Fraudulent, abusive, or illegal activity;
  • Non-compliance with instructions for safe use of Charging Stations;
  • Repeated reports of unplugging other users' chargers or other misconduct.

15.3 Termination by Customer

You may discontinue use of the Services at any time and request account closure, subject to:

  • Settlement of all outstanding dues; and
  • Compliance with applicable refund and data retention terms.

15.4 Amendments

Sonik Mobility may update or amend this Agreement at any time. The updated version will be posted on the Website/App. Continued use of the Services after such updates constitutes your acceptance of the revised terms.

16. Severability, Waiver & Order of Precedence

16.1 Severability

If any provision of this Agreement is found invalid or unenforceable, it shall be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

16.2 No Waiver

Failure by Sonik Mobility to enforce any right or provision shall not constitute a waiver of such right or provision.

16.3 Order of Precedence

In case of any conflict between:

  • This Terms & Conditions Agreement;
  • The Privacy Policy;
  • The Cancellation & Refund Policy; or
  • Any other Sonik Mobility terms,

this Agreement shall prevail solely with respect to the use of the App, Website, Charging Stations, and Services, except where applicable law or mandatory consumer protection provisions require otherwise.

A: Indian law, with disputes subject to Delhi courts or arbitration.
